Bylaws as of November 2025
ARTICLE I
NAME and PURPOSE
- The name of this organization shall be Active A’s Region, Antique Automobile Club of America. Here after known as “the club”
- The club’s mission is to encourage membership to grow, acquire, educate, preserve, restore, and exhibit the Model “A” Ford while enjoying the fellowship of fellow Model “A” Ford owners.
ARTICLE II
Members
- Requirements. Requirements for membership include either: 1) The actual possession of a Model “A” Ford: Or 2) An interest in the Model “A” Ford with the intention of acquiring a Model “A” Ford at some time in the future. An applicant for membership must be of benefit to the club and its functions and objectives. Membership in the National AACA is also required. Newsletters can be made available to past members by approval of the officers at cost and postage.
- Dues. The dues payable by members shall be paid in advance of the first day of February each year, in the amount set forth by the officers. Dues received after the first day of February will be subject to a late fee in the amount of 50% of the current annual dues. If dues are not paid before the first day of March, a new application for membership must be submitted. New members will be assessed a one-time initiation fee, payable with membership application, in the amount of the current annual dues. Memberships will be considered family memberships which includes children under 18 years of age. Only one vote per adult member.
- Guests. All guests are welcome by invitation and may not attend more than 3 activities in a fiscal year without applying for membership.
- Applications. All applications will be approved, when the requirements for membership have been met. Dues and the applicants AACA membership number must accompany the application
- Associate Member. Associate Memberships will be available to existing members that have lost a spouse/partner or are no longer able to drive and no longer own their Model A Associate membership must be approved by the Official Board. They must follow all the requirements and policies for membership, except owning a Model A
ARTICLE III
MEETING OF MEMBERS
- Annual Meeting. The annual meeting of members shall be held during the fall of each year. The purpose of said meeting shall be for elections and the transaction of such other business as may come before the meeting. The annual meeting may be held during the regular meeting.
- Regular Meetings. Regular meetings of the members shall be held every month except December & January, for the purpose of transacting business.
- Quorum. All meetings must have three ( 3 ) Officers or Directors present to constitute a quorum.
ARTICLE IV
OFFICIAL BOARD
- Official The official board shall contain 5 members.
- Responsibilities. The Official Board is responsible for all phases of the club activities. It will make recommendations to the committees for action during the year.
- Vacancy. A vacancy on the board will be filled by appointment by the President and shall be effective for the rest of the year.
ARTICLE V
OFFICERS
- The officers of the club shall be a Director, President, Vice President, Secretary, and Treasurer. These officers will be considered the Official Board.
- Director. The Director shall be the principal liaison between the region and the national
- The President shall be the principal executive officer of the club and shall in general supervise and control all the business and affairs of the club. He / she shall preside at all meetings of the members and shall perform all duties inclusive of the office of the President. In the absence of the Director the President shall perform the duties of the Director.
- Vice President. The Vice President shall preside over all committees and in the absence of the President the Vice President shall perform the duties of the Presi
- Secretary. The Secretary shall keep the minutes of the meetings, see that all notices are duly given in accordance with the provisions of these bylaws and keep a register of the address and phone numbers of each member. The secretary will also keep a record of attendance at all club meetings and activities, and in general perform all duties in clusive to the office of Secretary.
- The Treasurer shall have charge and custody of, and be responsible for all funds of the club.
ARTICLE VI
ELECTIONS
- Timing. The election of officers shall be held during the annual meeting.
- Nominating Committee. The nomination committee will present a slate of candidates at the annual meeting.

ARTICLE VII
GENERAL
- Committees will be the responsibility of the Vice President and formed as needed. Example: Activities, Nominating and Membership.
- On all club runs, approved vehicles will be a Model “A” Ford or “modern” vehicle
ARTICLE VIII
FISCAL YEAR
- The fiscal year of the club shall begin on the first day of February and end on the last day of January the following year.
ARTICLE IX
REGION REQUIREMENTS BY AACA
– Section 1. The members of any Region shall not, as a group, use the name of the Antique Automobile Club of America in connection with a commercial or charitable project.
Section 2. A Region or its Chapters shall not hold any activity in conflict with a National event of the Antique Automo bile Club of America.
Section 3. Announcements of Region activities may be sent to AACA for inclusion on the website and shown in AA Magazine.
Section 4. The names of Region officers and members must be sent to AACA National HQ no later than March 1st of each year.
Section 5. The Antique Automobile Club of America is a nonprofit organization, the members thereof shall not be enti tled to any individual or collective interest, participation share, right and /or property right in and to the assets of the Club or Region. But such assets shall be the indivisible property of the Club or Region thereof; no dividends pecuniary profits, stock dividends or payments of like manner shall ever be declared or paid to the members of this Club or Re gion thereof.
ARTICLE X
Chapters
Section I. Upon compliance with the requirements of the National Board of Directors, one or more Chapters may be formed as circumstances dictate within the geographic area of a Region.
Section 2. Tbe members of every Chapter shall be members in good standing of the Antique Automobile Club of America and the parent Region. Each Chapter shall be under the jurisdiction of the Region President unless special exception is authorized by the National Board of Directors.
ARTICLE XI
AMENDMENTS TO BYLAWS
- These bylaws may be altered, amended or repealed and new bylaws may be adopted by 2/3 majority of the members present at any meeting that has been previously announced at two regular meetings.
